These Terms and Conditions for A is for App ("we", "us", or "our") describe the terms under which you may use our product Suvadu, a local-first cross-agent memory service for AI tools.

4. Agreement to Terms

By downloading, installing, or using Suvadu, you agree to be bound by these Terms and Conditions available at https://suvadu.aisforapp.com/terms and our Privacy Policy at https://suvadu.aisforapp.com/privacy. If you do not agree, do not install or use the software.

Installation of Suvadu constitutes acceptance of these terms.

These terms form a legally binding agreement between you ("you", "your") and A is for App (ABN: [To be added]) ("we", "us", "our"), a business registered in Australia.

5. What Is Suvadu?

Suvadu is a local-first memory service for AI assistants. It runs on your machine and provides AI tools with persistent memory across conversations and clients. All your data is stored locally on your device. We do not operate a hosted service or store your data.

6. Intellectual Property Rights

Our Intellectual Property

Suvadu, its code, design, documentation, and branding are owned by A is for App. "Suvadu" and "A is for App" are trading names of A is for App.

Your Data Ownership

Your memories and data belong to you. We claim no rights over anything you store in Suvadu.

7. Licence to Use

We grant you a non-exclusive, non-transferable licence to install and use Suvadu on your personal devices, subject to the tier you are using (Free, Pro, or Cloud).

You may not:

Reverse-engineer, decompile, or disassemble the Suvadu binary, except to the extent permitted by applicable law (including the Copyright Act 1968 (Cth)).
Redistribute, sublicence, or resell Suvadu or any licence key.
Use Suvadu to build a competing product or service.
Remove or alter any proprietary notices, labels, or marks in the software.
Use Suvadu in any way that violates applicable laws or regulations.

8. Free Tier

The Free tier is available at no cost and includes:

Up to 50 memories stored.
Up to 100 recalls per session.

We may change the Free tier limits at any time. We will communicate changes through our release notes on GitHub.

9. Pro Tier -- Perpetual Licence

The Pro tier removes all usage limits. It is a one-time purchase of a perpetual licence.

Perpetual: Your licence does not expire. You own it for as long as you use Suvadu. This is a one-time purchase, not a subscription.
Offline validation: Your licence key is validated locally using Ed25519 public-key cryptography. No internet connection or server call is required to activate or use your licence.
Non-revocable after purchase: Once issued, licence keys cannot be revoked. Validation is entirely offline and we have no technical mechanism to disable a key after it has been delivered to you.
Per-user: Your licence is for your personal use. You may install it on multiple devices you personally own and use.
Non-transferable: You may not transfer, sell, or share your licence key with another person.

10. Cloud Tier (Future)

We plan to offer a Cloud tier in the future. Under this model:

We deploy Suvadu into your own Google Cloud account via OAuth.
After deployment, we exit. We do not retain ongoing access to your cloud resources.
You are responsible for your Google Cloud account, its costs, and its terms of service.
Google Cloud's terms and conditions apply to your use of their infrastructure.

These terms will be updated when the Cloud tier becomes available.

11. Payments, Pricing, and Refunds

Payments

All payments are processed by Stripe. By making a purchase, you also agree to Stripe's Terms of Service.
We do not store your credit card details. Stripe handles all payment data under PCI-DSS compliance.

Pricing

Prices are stated in US dollars unless otherwise indicated.
All prices are inclusive of GST where applicable.
We reserve the right to change pricing for future purchases. Price changes do not affect licences already purchased.

30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee. If you are not satisfied with Suvadu for any reason, contact us within 30 days of purchase at hello@aisforapp.com for a full refund.
After 30 days, purchases are non-refundable (except as required by Australian Consumer Law -- see Section 19).
Because licence keys are validated offline and cannot be technically revoked, your key will continue to function after a refund. We trust our users not to abuse this. Abuse of the refund policy may result in us declining future purchases.

12. Your Responsibilities

By using Suvadu, you agree that:

You are responsible for your data. All memories are stored locally on your machine. You are responsible for maintaining backups. We cannot recover lost data.
You are responsible for the content you store. Do not store illegal content, passwords, API keys, private cryptographic keys, or other sensitive credentials in Suvadu.
You are responsible for your AI tools. Suvadu provides memory to AI assistants. We are not responsible for how those AI tools use, interpret, or act on the memories Suvadu provides.
You will not misuse the software. You will not use Suvadu for any unlawful purpose, to infringe on the rights of others, or in any way that could damage, disable, or impair the software.
You will comply with applicable laws. You are responsible for ensuring your use of Suvadu complies with all laws applicable to you, including data protection laws if you store personal data about others.

13. Prohibited Activities

You may not access or use Suvadu for any purpose other than that for which we make it available. Suvadu may not be used in connection with any commercial endeavour except those specifically endorsed or approved by us.

As a user, you agree not to:

Reverse-engineer, decompile, or disassemble the Suvadu binary, except to the extent permitted by applicable law (including the Copyright Act 1968 (Cth)).
Redistribute, sublicence, resell, or share Suvadu or any licence key.
Use Suvadu to build a competing product or service.
Remove or alter any proprietary notices, labels, or marks in the software.
Use Suvadu for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to bypass or circumvent any licence validation or usage limits.
Interfere with, disrupt, or create an undue burden on Suvadu or the networks or services connected thereto.
Use any automated system, including scripts, bots, or scrapers, to access Suvadu in a manner that sends more requests than a human can reasonably produce.
Store illegal content, content that infringes on the rights of others, or content that you do not have the right to store.
Abuse the 30-day refund policy (for example, by repeatedly purchasing and requesting refunds while continuing to use the software).

14. Third-Party AI Tools

Suvadu is designed to work with third-party AI tools including (but not limited to) Claude, ChatGPT, Cursor, and GitHub Copilot. Important points:

We are not affiliated with Anthropic, OpenAI, Cursor, GitHub, or any other AI tool provider.
We are not responsible for the behaviour, output, or availability of third-party AI tools.
We do not control how AI tools use the memory data Suvadu provides to them within a conversation.
Changes to third-party AI tools (such as MCP protocol changes, deprecations, or access restrictions) may affect Suvadu's functionality. We will endeavour to maintain compatibility but cannot guarantee it.

15. Retrieval Accuracy and Limitations

This section describes fundamental limitations of the technology. Please read it carefully.

Suvadu uses semantic search and AI embedding models to store and recall memories. Retrieval is NOT 100% accurate. By using Suvadu, you acknowledge and accept that:

Search results may be incomplete, inaccurate, or miss relevant memories. Semantic search is probabilistic, not deterministic.
Stored information may not be recalled when expected. The presence of a memory in storage does not guarantee it will be returned for every relevant query.
Semantic similarity matching may return irrelevant results. The embedding model may associate unrelated concepts.
You accept these limitations as inherent to the technology. These are characteristics of all semantic search systems, not defects in Suvadu.
You should not rely on Suvadu as the sole store of critical information. Always maintain independent records for important, time-sensitive, or safety-critical data.
We are not liable for any loss, damage, or consequence arising from inaccurate or incomplete retrieval. This includes but is not limited to decisions made based on recalled information, missed information, or incorrectly associated information.

The quality of recall depends on how information was stored, the embedding model's capabilities, and the nature of the query. Suvadu is a best-effort semantic memory system, not a database with guaranteed retrieval.

16. No Professional Advice

Suvadu is a memory tool, not an advisory service. Information stored in and recalled from Suvadu does not constitute and should not be treated as:

Professional advice of any kind
Legal advice or legal information
Medical or health advice
Financial, investment, or tax advice
Any other form of expert or specialist advice

You should not rely on information recalled from Suvadu as a substitute for independent professional judgement. Always seek qualified professional advice for matters affecting your health, finances, legal rights, or other important decisions.

We are not responsible for decisions you make, or actions you take or fail to take, based on information recalled from Suvadu.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law (and subject to Section 19: Australian Consumer Law):

Suvadu is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Any warranty that Suvadu will be uninterrupted, error-free, secure, or compatible with any particular software or hardware.
Any warranty regarding the accuracy, reliability, or completeness of AI-assisted recall.
Any warranty that the software will meet your particular requirements.

18. Limitation of Liability

To the fullest extent permitted by applicable law (and subject to Section 19: Australian Consumer Law):

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of business, loss of goodwill, or loss of opportunity, arising from your use of or inability to use Suvadu.
Our total aggregate liability to you for all claims arising from or related to Suvadu shall not exceed the amount you paid for your Suvadu licence (or AUD $0 if you are using the Free tier).

Nothing in these terms excludes or limits our liability for:

Death or personal injury caused by our negligence.
Fraud or fraudulent misrepresentation.
Any liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law.

19. Australian Consumer Law

Suvadu comes with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

Nothing in these Terms and Conditions excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

For goods and services that are not of a kind ordinarily acquired for personal, domestic, or household use or consumption, our liability for failure to comply with a consumer guarantee is limited, to the extent permitted by law, to:

In the case of goods: replacement of the goods, supply of equivalent goods, or payment of the cost of replacing the goods or acquiring equivalent goods.
In the case of services: supplying the services again, or payment of the cost of having the services supplied again.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless A is for App, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

Your use of Suvadu.
Your violation of these terms.
Content you store in Suvadu.
Your violation of any third-party rights.
Your violation of any applicable law or regulation.

21. Termination

How to Stop Using Suvadu

Free tier: You may stop using Suvadu at any time by uninstalling it and deleting ~/.suvadu/.
Pro tier: Your perpetual licence does not expire. However, we may terminate your licence if you materially breach these terms (for example, by redistributing the software or licence keys). Given that licence validation is offline, termination in practice means exclusion from future updates, support, and purchases.

Effect of Termination

Your local data remains on your machine. We have no access to it and cannot delete it remotely. You are responsible for deleting your own data.

Survival

Sections 6 (Intellectual Property Rights), 15 (Retrieval Accuracy and Limitations), 16 (No Professional Advice), 17 (Disclaimer of Warranties), 18 (Limitation of Liability), 19 (Australian Consumer Law), 20 (Indemnification), 23 (Class Action Waiver), and 25 (Governing Law and Disputes) survive termination of these terms.

22. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

Natural disasters, pandemics, or epidemics.
Acts of government, war, terrorism, or civil unrest.
Power failures, internet outages, or telecommunications failures.
Failures of third-party services, including Google Cloud Platform, AI client providers (Anthropic, OpenAI, Cursor, GitHub), hosting providers, or payment processors.
Cyberattacks, distributed denial-of-service attacks, or other security incidents affecting third-party infrastructure.
Any other event commonly understood as force majeure.

The affected party's obligations are suspended for the duration of the force majeure event.

23. Class Action Waiver

To the fullest extent permitted by applicable law, any dispute arising from or relating to these terms or your use of Suvadu shall be resolved on an individual basis only.

You agree not to bring or participate in any class action, collective action, consolidated action, or representative action or proceeding against A is for App.

This clause does not affect your rights under the Australian Consumer Law or any other rights that cannot be waived by agreement under applicable law.

24. Export Controls

Suvadu uses Ed25519 cryptographic signatures for licence validation. Cryptographic software may be subject to export controls and import restrictions in certain jurisdictions.

By using Suvadu, you represent and warrant that:

You are not located in a country subject to a comprehensive trade embargo.
You are not on any applicable government restricted party list.
You will comply with all applicable export control laws and regulations in your jurisdiction, including the Australian Defence Trade Controls Act 2012 (Cth) and the Wassenaar Arrangement where applicable.
You will not use, export, or re-export Suvadu in violation of any applicable export restrictions.

25. Governing Law and Disputes

These terms are governed by and construed in accordance with the laws of Victoria, Australia.

Any disputes arising from or relating to these terms or your use of Suvadu shall be subject to the non-exclusive jurisdiction of the courts of Victoria, Australia.

Nothing in these terms:

Excludes or limits any rights you have under the Australian Consumer Law.
Prevents you from making a complaint to the Australian Competition and Consumer Commission (ACCC) or a relevant state or territory consumer protection agency.
Prevents you from taking action in a court or tribunal in the jurisdiction where you reside, where permitted by law.

26. Privacy Policy

Your use of Suvadu is also governed by our Privacy Policy, which explains what data we collect (very little) and what data we never collect (nearly everything).

Key points:

All memories stay on your machine. We never access them.
We send one anonymous analytics ping per session (version, platform, tier, source, memory count, store/recall counts, duration). No memory content, queries, or personal data is included.
Payments are handled by Stripe under their own privacy policy.

27. Modifications to These Terms

We may update these Terms and Conditions from time to time. When we do:

We will update the "Last updated" date at the top.
For material changes, we will note them in our release notes on GitHub.
Continued use of Suvadu after changes are posted constitutes acceptance of the updated terms.
If you do not agree with the updated terms, stop using Suvadu and uninstall the software.

28. Severability and Waiver

Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be modified, it will be severed. The remaining provisions will continue in full force and effect.

Waiver

No failure or delay by us in exercising any right under these terms constitutes a waiver of that right. A waiver of any right or provision will be effective only if in writing and signed by us, and will apply only to the specific instance for which it is given.

29. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and A is for App regarding your use of Suvadu. They supersede any prior agreements, representations, or understandings, whether written or oral.
